I. - The Board of Directors is made up of representatives of the public establishments which have irrevocably assigned assets, rights or resources to the purpose of the foundation or which have made a contribution to the endowment.

It comprises:

1° Representatives of the founding public health establishments:

a) The directors of the establishments, the chairmen of the establishment medical committees and, for university hospital centres, the vice-chairmen of the executive board responsible for research;

b) One or more representatives appointed after consultation with the executive boards by the directors of the establishments;

2° Representatives of the other founding public establishments.

The Articles of Association may provide for a second college made up of qualified persons appointed by the members of the Board of Directors mentioned in 1° and 2° above on the proposal of all persons who have irrevocably assigned assets, rights or resources to the purpose of the foundation or who have made a contribution to the endowment. The term of office of qualified persons may not exceed five years. It may be renewed once.

The representatives mentioned in 1° above have the majority of votes on the Board of Directors.

II. - The following also attend meetings of the Board of Directors in an advisory capacity:

1° As Government Commissioner, the Director General of the Regional Health Agency in whose area the Foundation's registered office is located or his representative; he may obtain any document or paper relating to the activity or management of the Foundation and is the addressee of all draft resolutions of the Board of Directors;

2° The Director of the Foundation;

3° The Chairman of the Scientific Advisory Board;

4° Where one of the public health establishments is a university hospital centre, a representative of the Minister responsible for research.

III. - The auditor or his deputy attends meetings of the Board of Directors.

IV. - The duties of a member of the Board of Directors are performed free of charge. Members of the Board of Directors may, however, be reimbursed for travel expenses incurred for the purposes of the Foundation, on presentation of receipts, under conditions defined by the internal regulations.
