Purpose and Acceptance

These Terms and Conditions of Use (the “Terms”) define the conditions under which LEGALTECH SELARL — a société d'exercice libéral à responsabilité limitée registered with the Paris Bar (Toque C2396), with registered offices at 182 rue de Rivoli, 75001 Paris, France (hereinafter the “Publisher”) — makes available to users the website accessible at www.french-business-law.com (hereinafter the “Website”) and the services available thereon.

Any connection to the Website is subject to compliance with these Terms. For the user, the mere act of accessing the Website implies unconditional acceptance of these Terms in their entirety.

These Terms do not constitute a contract for the provision of legal services, nor an offer of such services. The Website is a legal information and company data platform. It is not a substitute for legal advice from a qualified professional.

Trademark data is sourced from the INPI (for French trademarks), the EUIPO (European Union Intellectual Property Office) and WIPO (World Intellectual Property Organization). Legislative content is sourced from Légifrance and translated into English by the Publisher.

The Publisher endeavours to update this data on a daily basis. However, the Publisher does not guarantee that the data displayed on the Website is complete, accurate or up-to-date at the time of consultation. Users are strongly advised to verify all information against the relevant official sources before relying on it for any legal, commercial or financial purpose.

The Website is not an official source of any of the above data and is not affiliated with INSEE, INPI, BODACC, Légifrance, EUIPO or WIPO.

English Translations of French Law

The English translations of French legislative texts made available on the Website are provided for informational purposes only. The official and legally binding version of French legislation is exclusively the French-language version published on Légifrance. In the event of any discrepancy between the English translation provided on the Website and the French original, the French original shall prevail in all circumstances.

Nature of AI Features

The Website incorporates AI-powered features, including an AI Article Finder, AI-generated summaries of legal articles, and AI-assisted analysis of company data (collectively, “AI Features”). These features are generated automatically by a large language model and have not been reviewed, verified or approved by a qualified lawyer prior to being displayed. AI Features do not constitute legal advice, a legal opinion or a legal service within the meaning of the French law of 31 December 1971 (loi n° 71-1130). They are provided for informational and orientation purposes only. The Publisher expressly disclaims all liability for any reliance placed on AI-generated content.

Limitations of AI Features

AI Features may contain errors, omissions, outdated information or inaccuracies. They may not reflect recent legislative changes, regulatory updates or court decisions. The Publisher does not guarantee the accuracy, completeness or relevance of any AI-generated output.

Right of Withdrawal

In accordance with Articles L. 221-18 and following of the French Code de la consommation, consumers have a right of withdrawal of 14 calendar days from the date of subscription, without giving any reason. To exercise this right, the user must notify the Publisher in writing at contact@french-business-law.com.

Where the user has expressly requested that the service begin before the end of the 14-day withdrawal period, the user will be liable to pay for the service provided up to the date of withdrawal.

Cancellation

Users may cancel a subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period, unless required by applicable law.

One-Time Purchases

One-time purchases (lawyer-signed due diligence reports and director background checks) are offered on a one-time purchase basis. Once a report has been delivered, no refund is available unless the report was not delivered or contained a material error attributable to the Publisher.

Payment Processing

Payments are processed by a third-party payment processor. The Publisher does not store payment card details. By completing a purchase, the user accepts the payment processor's terms and conditions in addition to these Terms.

Lawyer Referral and Legal Network

Role of the Publisher

The Publisher operates a network of French registered lawyers, notaries, chartered accountants and other specialists (the “Network”) who are made available to users through the Website for the provision of fixed-fee legal and professional services.

When a user engages a specialist through the Website, the contractual relationship for the provision of legal or professional services is formed exclusively between the user and the specialist concerned. The Publisher is not a party to that contract and assumes no liability for the services provided by Network specialists.

Professional Secrecy

Communications between a user and a lawyer engaged through the platform are protected by professional secrecy (secret professionnel) within the meaning of Article 66-5 of the French law of 31 December 1971.

AI Features and automated platform tools are not subject to professional secrecy and do not benefit from legal privilege. Users must not submit confidential or privileged information through AI Features or general platform search tools.

Initial Free Consultation

An initial free consultation, where offered, constitutes an initial review of the matter, limited to a maximum of one hour or as otherwise specified. The Publisher and the relevant specialist reserve the right to decline any request for a free consultation at their discretion, without being required to give a reason.

Intellectual Property

Platform Content

The general structure of the Website, as well as all texts, graphics, images, databases, software, AI-generated content, logos, design elements and all other elements composing the Website, are the property of the Publisher or its licensors and are protected by French and international intellectual property law. Any representation, reproduction, extraction or exploitation of the contents of the Website without the prior written authorisation of the Publisher is prohibited and constitutes an infringement within the meaning of Articles L. 335-2 and following of the French Intellectual Property Code.

Database Rights

The databases made available on the Website — including the French company database, the trademark database and the legislation database — are protected under Directive 96/9/EC on the legal protection of databases, as transposed into French law (Articles L341-1 et seq. of the French Intellectual Property Code). The Publisher holds the sui generis rights of the database producer. Any substantial extraction or re-utilisation of all or a substantial part of the contents of these databases, whether repeated or not, is strictly prohibited without the prior written authorisation of the Publisher. Automated extraction (scraping) is prohibited.

Trademarks

The name “French Business Law”, the domain name french-business-law.com and associated logos are the property of the Publisher. Any use of these elements without the prior written authorisation of the Publisher is prohibited.

The Publisher endeavours to ensure access to the Website 24 hours a day, 7 days a week, subject to scheduled and unscheduled maintenance, force majeure events or circumstances beyond the Publisher's reasonable control. The Publisher does not guarantee the availability, reliability or performance of the Website. The Publisher may suspend or interrupt access to all or part of the Website at any time, with or without notice and without compensation, for maintenance, security or operational reasons.

Risks of Use of the Internet

The user acknowledges the characteristics and limitations of the Internet and accepts that the Publisher assumes no responsibility for service interruptions, transmission errors or defects in performance. The user acknowledges that data transmitted over the Internet is not confidential and may be intercepted by third parties, and that it is the user's responsibility to take all appropriate measures to protect their own data and systems.

Modifications to These Terms

The Publisher reserves the right to modify these Terms at any time. Users will be informed of material changes. Continued use of the Website following notification of changes constitutes acceptance of the revised Terms.

Applicable Law and Jurisdiction

The Website and these Terms are governed by French law, regardless of the country from which the Website is accessed. In the event of any dispute arising in connection with these Terms, the user and the Publisher will seek an amicable resolution. Failing an amicable resolution, the courts of Paris shall have jurisdiction, subject to the mandatory provisions of applicable consumer law.
